In the last year, many NVIDIA Corporation (NASDAQ:NVDA) insiders sold a substantial stake in the company which may have sparked shareholders’ attention. When analyzing insider transactions, it is usually more valuable to know whether insiders are buying versus knowing if they are selling, as the latter sends an ambiguous message. However, when multiple insiders sell stock over a specific duration, shareholders should take notice as that could possibly be a red flag.

Although we don’t think shareholders should simply follow insider transactions, logic dictates you should pay some attention to whether insiders are buying or selling shares.

NVIDIA Insider Transactions Over The Last Year

Over the last year, we can see that the biggest insider sale was by the Independent Director, Mark Stevens, for US$51m worth of shares, at about US$186 per share. So what is clear is that an insider saw fit to sell at around the current price of US$170. We generally don’t like to see insider selling, but the lower the sale price, the more it concerns us. In this case, the big sale took place at around the current price, so it’s not too bad (but it’s still not a positive).

Insiders At NVIDIA Have Sold Stock Recently

Over the last three months, we’ve seen significant insider selling at NVIDIA. In total, Independent Director Mark Stevens sold US$20m worth of shares in that time, and we didn’t record any purchases whatsoever. In light of this it’s hard to argue that all the insiders think that the shares are a bargain.

I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. We usually like to see fairly high levels of insider ownership. It’s great to see that NVIDIA insiders own 4.0% of the company, worth about US$17b. This kind of significant ownership by insiders does generally increase the chance that the company is run in the interest of all shareholders.
